Welcome to Musicngear! These Terms of Use ("Terms") govern your access to and use of the Musicngear website, including all features, services, and content we make available (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. Please read them carefully.
1. Eligibility and Account Registration 1.1. You must be at least 16 years old to use Musicngear. The Service is not intended for individuals under 16, and we do not knowingly collect personal data from them. 1.2. To access certain features, you may need to create an account. You must provide accurate, current, and complete information during registration and keep your account details updated. You are responsible for maintaining the confidentiality of your login credentials (username and password) and for all activity that occurs under your account. 1.3. You agree to notify us immediately at info@musicngear.com if you suspect any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your credentials or from unauthorized account use before you notify us.
2. User Content 2.1. You may have the ability to submit reviews, ratings, preferences, questions, opinions, comments, and other user-generated content ("User Content") on the Service. By submitting User Content, you grant Musicngear a perpetual, worldwide, royalty-free, non-exclusive, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content (in whole or in part) in any media formats and through any media channels now known or hereafter developed, for the purposes of operating, improving, promoting, distributing, and developing the Service. 2.2. You retain ownership of your User Content. The license you grant us is non-exclusive, meaning you are free to use your content elsewhere. However, by posting, you allow us to reuse, republish, or feature your content across our platforms, in promotional materials, or potentially via related third-party services integrated with Musicngear. 2.3. You are solely responsible for your User Content. You agree not to submit content that is illegal, fraudulent, offensive, defamatory, obscene, threatening, invasive of privacy, infringing of intellectual property rights, discriminatory, or otherwise objectionable or harmful to third parties. We reserve the right (but not the obligation) to monitor, edit, or remove any User Content at our sole discretion without notice.
3. Acceptable Use Policy 3.1. You agree to use the Service only for lawful purposes and in accordance with these Terms. 3.2. All content and materials available on the Service, including but not limited to text, graphics, website name, code, images, logos, audio clips, video clips, and software ("Musicngear Content"), are the intellectual property of Musicngear or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. 4.2. You are granted a limited, non-exclusive, non-transferable license to access and use the Service and Musicngear Content for your personal, non-commercial use. You may not copy, reproduce, distribute, transmit, broadcast, display, sell, license, modify, create derivative works from, or otherwise exploit any Musicngear Content without our prior written consent or the consent of the respective licensors.
5. Disclaimers and Limitation of Liability 5.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MUSICNGEAR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. 5.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUSICNGEAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING RELIANCE ON REVIEWS OR RECOMMENDATIONS); OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. 6. Termination 6.1. We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. This may occur if we believe you have violated these Terms or engaged in conduct harmful to Musicngear or other users. 6.2. You may terminate your account and discontinue use of the Service at any time by contacting us via the method specified in Section 9. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).
7. Changes to the Terms 7.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, which may include posting on our site or notification via email if you have provided one. What constitutes a material change will be determined at our sole discretion. 7.2. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
8. Governing Law and Jurisdiction 8.1. These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict of law principles. 8.2. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the competent courts located in Thessaloniki, Greece. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
